(1) Consists of: (i) 87,499 shares of Class A Common Stock; and (ii) 9,440,000 Class A Common Stock issuable upon the exercise of warrants issued on May 27, 2022, each to purchase one share of Class A Common Stock at an exercise price of $11.50 per share and exercisable within 60 days after May 27, 2022 (the “New Warrants”).
